MECANICA CODLEA S.A. hereby announces that the Annual General Meeting of Shareholders was held on April 22, 2026.

At this meeting, the company's shareholders decided the following:

I.1. The distribution of net profit for the 2025 fiscal year is approved, of which 437,572.93 lei is allocated for dividends. The gross dividend is 0.00589714 lei per share. I.2. The date of September 11, 2026 is set as the record date, June 10, 2026 as the ex-date, and September 22, 2026 as the payment date.
