MAMA corporate events notification

MAGAZIN UNIVERSAL MARAMURES SA BAIA MARE hereby informs you that on December 23, 2025, the Ordinary and Extraordinary General Meetings of Shareholders were held.

During these meetings, the company's shareholders decided the following:

I.1. The consolidation of the nominal value of a share issued by the Company from a nominal value of RON 0.1/share to a nominal value of RON 300/share is approved, by increasing the nominal value of the shares while reducing the total number of shares (3,000 shares with a nominal value of RON 0.1/share will represent one share with a nominal value of RON 300/share). If the consolidation of the nominal value results in fractions of shares, the number of shares will be rounded down to the nearest whole number. The price proposed and approved by the EGMS for the compensation of the resulting fractions of shares is 600 lei/consolidated share (which corresponds to a price of 0.2 lei/share prior to consolidation). I.2. Setting 25.02.2026 as the registration date, 24.02.2026 as the ex-date, 26.02.2026 as the payment date, and 12.03.2026 as the payment date for the fractions of shares resulting from the consolidation process.
