CHRD Corporate Event Notification
The company CHROMOSOME DYNAMICS, hereinafter referred to as "the Company", informs interested persons about the publication of the Simplified Prospectus for the offer related to the operation of increase of the share capital of the Company, approved by the Financial Supervisory Authority by Decision no. 604 dated 15.06.2023. The detailed timetable for the capital increase operation approved by the ASF is as follows:
- Trading of preferential rights 30.06.2023-06.07.2023
- Public Offering Period 11.07.2023-10.08.2023
In the first stage, investors will be able to purchase newly issued shares based on the number of pre-emptive rights, CHRDR01. The subscription rate is 0.3881892,' the number of new shares that may be subscribed for by a holder of pre-emptive rights being calculated as the product of the number of rights held and the subscription rate rounded down to the nearest whole number. The subscription price in Stage I is 18.31 lei/share. Holders of pre-emptive rights will be able to subscribe in the offer, in the first stage, throughout the subscription period, daily between 09:30 and 17:30, except on the last day when the subscription period closes at 13:00. The New Shares remaining unsubscribed after the first stage of the increase will be offered for subscription to qualified investors and/or to a number of investors less than 150 natural persons or legal entities, in accordance with Art. 1 para. (4) lit. a) and b) of EU Regulation 2017/1129, in the second stage of the capital increase, in the framework of a private placement and at a price at least equal to the price of the first stage which will be determined by the decision of the Sole Administrator. Phase II is not subject to the Prospectus approved by ASF. The New Shares remaining unsubscribed after the completion of the private placement will be canceled by decision of the Sole Administrator. Subscriptions under the Offer are irrevocable throughout the Offer period, unless an amendment to the prospectus is approved. Subscriptions are entered from the trading platform, menu "Subscriptions/Add Subscription". The fee charged by the Central Depository for the processing of subscriptions is RON 21 for each instruction entered.
