CAB corporate events notification

GOCAB SOFTWARE S.A. hereby informs you that on April 23, 2024, the Ordinary and Extraordinary General Meeting of Shareholders was held.

At this meeting, the company's shareholders decided the following:

I.1. The reduction of the subscribed and paid-up share capital of SC GoCab Software SA by the amount of RON 6,779,788, from RON 8,474,735 to RON 1,694,947, by canceling 67,797,880 shares held by the company's shareholders on the registration date, in order to partially cover current and carried-forward losses. The method of reducing the number of shares is by cancelling from each shareholder's assets a number of shares proportional to their share in the share capital on the registration date. The rate of reduction of the company's share capital is 0.8, determined as follows: (total number of shares issued by the company on the registration date - number of shares remaining after the reduction of the share capital) divided by the total number of shares issued by the company on the registration date (84,747,350-16,949,470) : 84,747,350 = 0.8 The number of canceled shares will be equal to the number of shares held by the shareholder on the registration date multiplied by the share capital reduction rate, i.e., 0.8. I.2. The method of compensating for fractions of shares is approved, in accordance with the provisions of Law 24/2017, as follows: if, after applying the above algorithm, fractions of shares result, the number of shares remaining in the shareholders' account will be rounded down to the nearest whole number. The price of 0.1 lei/share is set for the compensation of fractions of shares resulting from the application of the algorithm and the rounding of the results. I.3. Setting the date of July 31, 2024 as the registration date, July 30, 2024 as the ex-date, August 1, 2024 as the payment date, and August 12, 2024 as the payment date for fractional shares.
